NOTICE: This software and associated documentation files (the "Software") are
proprietary and confidential to Salt Security, Inc. ("Salt Security").
GRANT OF LICENSE:
Salt Security grants you a limited, non-exclusive, non-transferable, revocable
license to use the Software solely for the purpose of integrating with Salt
Security's services and in accordance with the terms of your subscription
agreement with Salt Security.
RESTRICTIONS:
You may NOT:
1. Copy, modify, adapt, translate, or create derivative works of the Software
2. Reverse engineer, decompile, disassemble, or attempt to derive source code
3. Distribute, sublicense, lease, rent, loan, or transfer the Software
4. Remove or alter any proprietary notices, labels, or marks on the Software
5. Use the Software for any purpose other than as expressly authorized
6. Use the Software in any way that competes with Salt Security's business
OWNERSHIP:
Salt Security retains all right, title, and interest in and to the Software,
including all intellectual property rights. This license does not grant you
any ownership rights in the Software.
SUPPORT AND UPDATES:
Salt Security may, but is not obligated to, provide support, maintenance,
updates, or new releases of the Software. Any updates or new releases shall
be subject to the terms of this license.
WARRANTY DISCLAIMER:
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. SALT SECURITY DOES
NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
LIMITATION OF LIABILITY:
IN NO EVENT SHALL SALT SECURITY BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL,
SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO,
PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS;
OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY,
WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR
OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THE SOFTWARE, EVEN IF
ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
TERMINATION:
This license is effective until terminated. Salt Security may terminate this
license at any time if you fail to comply with any term of this license.
Upon termination, you must immediately cease all use of the Software and
destroy all copies in your possession or control.
GOVERNING LAW:
This license shall be governed by and construed in accordance with the laws
of the State of California, United States of America, without regard to its
conflict of law provisions.
ENTIRE AGREEMENT:
This license constitutes the entire agreement between you and Salt Security
regarding the Software and supersedes all prior or contemporaneous
understandings and agreements, whether written or oral, regarding such
subject matter.
