1. Introduction

This License Agreement ("Agreement") is entered into between Sidub Inc. 
("Licensor," "we," "our," or "us") and the individual or entity ("Licensee," 
"you," or "your") that acquires a license to use the Software. By downloading, 
installing, or using the Software, you agree to comply with the terms of this 
Agreement.

2. Definitions

For the purposes of this Agreement:

- "Software" means the proprietary software provided by Sidub Inc., including 
  any updates, enhancements, or modifications.
- "AGPLv3" refers to the Affero General Public License version 3.
- "PSLA" refers to Sidub Inc.'s Proprietary Software License Agreement.

3. Dual Licensing Options

The Software is dual-licensed under:

3.1. Option 1: Open Source License (AGPLv3)

The open-source version of the Software is licensed under the AGPLv3. You may 
use, modify, and distribute the Software under the terms of the AGPLv3.

The full text of the AGPLv3 license is included in this repository as 
LICENSE-AGPLV3.txt.

3.2. Option 2: Proprietary Software License Agreement (PSLA)

For commercial or personal use, the Software is available under our PSLA. This 
license provides a non-exclusive, non-transferable right to use the Software 
under one of the following license types:

- Free License: Provides a non-exclusive, non-transferable, revocable right 
  to use the Software at no cost for personal or non-commercial purposes. This 
  license allows access to any version of the Software released prior to the 
  license expiration date.
  
- Perpetual License: Provides a non-exclusive, non-transferable right to use 
  the Software indefinitely following a one-time payment. This license includes 
  access to Updates within the same Major Version of the Software.
  
- Subscription License: Provides a non-exclusive, non-transferable right to 
  use the Software for a specified period. This license allows access to any 
  version of the Software released prior to the subscription�s expiration date, 
  with continued Updates available upon renewal.
  
- Consumption License: Provides a non-exclusive, non-transferable right to 
  use the Software based on usage metrics. This license allows access to any 
  version of the Software released prior to the license expiration date.

4. Additional Terms

By using the Software, you also agree to our Terms of Service and Privacy 
Policy, which are included in this repository as terms.txt and privacy.txt, 
respectively.

5. Contributor License Agreement (CLA)

We welcome contributions from the community. Before contributing, you must sign 
our Contributor License Agreement (CLA), granting Sidub Inc. the rights to use, 
modify, and distribute your contributions under both the AGPLv3 and the 
proprietary licenses.

6. Governing Law

This Agreement is governed by and construed in accordance with the laws of the 
Province of Ontario and the federal laws of Canada applicable therein.

7. Limitation of Liability and Warranty Disclaimer

To the fullest extent permitted by applicable law:

- The Software is provided "as is" and "as available," without warranties or 
  conditions of any kind, either express or implied, including but not limited 
  to implied warranties or conditions of merchantability, fitness for a 
  particular purpose, and non-infringement.

- Sidub Inc. shall not be liable for any indirect, incidental, special, 
  consequential, or punitive damages, including but not limited to loss of 
  profits, revenue, data, or use, incurred by you or any third party, whether 
  in an action in contract, tort (including negligence), strict liability, or 
  otherwise, arising from your use of the Software.

9. Important Notice

By choosing to use the Software under the AGPLv3 license, you agree to comply 
with all its terms and conditions. Redistribution is allowed only under the 
AGPLv3, and the Software cannot be relicensed under dual-license or proprietary 
models without prior written consent from Sidub Inc.

10. Note on License Types Availability

The availability of license types, including but not limited to the Open Source 
License, Free License, Perpetual License, Subscription License, and Consumption 
License, may vary depending on the specific product or version of the Software. 
Sidub Inc. reserves the right to determine the availability of these licenses 
for each product.
